Siemens Mobility Holding B.V. proposes to acquire 100% of the share capital in MerMec S.p.A. The transaction involves companies active in the rail technology sector. Siemens Mobility Holding B.V. ( Siemens Mobility Holding ) proposes to acquire 100% of the share capital in MerMec S.p.A ( MerMec ) (the Acquisition ). Siemens Mobility Holding is an investment vehicle and wholly owned subsidiary of Siemens Aktiengesellschaft ( Siemens AG ), the Germany-based ultimate parent of the Siemens group of companies ( Siemens ). Siemens Mobility Holding and Siemens Mobility GmbH management, a Siemens AG subsidiary, (together SMO ) operate in Australia through their subsidiary, Siemens Mobility Pty Ltd ( Siemens Mobility ). In Australia, Siemens Mobility is active in the supply of rolling stock, signalling systems, rail electrification services, rolling stock diagnostics and related software. To a limited historical extent, Siemens Mobility has previously supplied rail infrastructure diagnostics. MerMec is an Italian company headquartered in Monopoli, Italy. MerMec operates in Australia through its subsidiary, MerMec Australia Pty Ltd, which supplies rail infrastructure diagnostics (including diagnostics vehicles and onboard diagnostics components), rolling stock diagnostics components, related software, and quality control components for industrial manufacturing environments.
The ACCC has prepared a questionnaire on the Acquisition. Submissions or information in response to the questionnaire should be provided by 20 July 2026 via email to mergers@accc.gov.au with the title Submission re: Siemens Mobility - MerMec . The ACCC’s ability to give detailed consideration to submissions received after this time may be limited.
