Motorola Solutions, Inc., through its subsidiary Motorola Solutions Finance EMEA Limited, proposes to acquire all shares of Israel-based D-Fend Solutions AD Ltd. Motorola Solutions, a supplier of mission-critical communications and security solutions, is acquiring a specialist in counter-unmanned aircraft system (C-UAS) technology for public safety and critical infrastructure customers.
Motorola Solutions, Inc. ( MSI ), through its subsidiary Motorola Solutions Finance EMEA Limited ( MSF EMEA ), proposes to acquire all of the issued and outstanding shares of D-Fend Solutions AD Ltd. ( D-Fend Solutions ) (the Acquisition ). Upon completion, D-Fend Solutions will become a wholly owned indirect subsidiary of MSI. MSI is a US‑domiciled company that supplies mission‑critical communications, video security and access control, and command centre software products and solutions for public safety, government (including defence), and enterprise customers. MSF EMEA is the holding entity for MSI's operating subsidiaries in the UK, EU, Israel, and Norway. D‑Fend Solutions is an Israel‑based technology company specialising in counter‑unmanned aircraft system (C‑UAS) technology. D‑Fend Solutions supplies devices that detect, identify and mitigate unauthorised drones, including through radio frequency, radar and optical detection technologies. Its products are supplied primarily to public safety and critical infrastructure customers.
