Acquisition details

Motorola Solutions, Inc. ( MSI ), through its subsidiary Motorola Solutions Finance EMEA Limited ( MSF EMEA ), proposes to acquire all of the issued and outstanding shares of D-Fend Solutions AD Ltd. ( D-Fend Solutions ) (the Acquisition ). Upon completion, D-Fend Solutions will become a wholly owned indirect subsidiary of MSI. MSI is a US‑domiciled company that supplies mission‑critical communications, video security and access control, and command centre software products and solutions for public safety, government (including defence), and enterprise customers. MSF EMEA is the holding entity for MSI's operating subsidiaries in the UK, EU, Israel, and Norway. D‑Fend Solutions is an Israel‑based technology company specialising in counter‑unmanned aircraft system (C‑UAS) technology. D‑Fend Solutions supplies devices that detect, identify and mitigate unauthorised drones, including through radio frequency, radar and optical detection technologies. Its products are supplied primarily to public safety and critical infrastructure customers.

The ACCC has prepared a questionnaire on the Acquisition. Submissions or information in response to the questionnaire should be provided by 16 July 2026 via email to mergers@accc.gov.au with the title Submission re: Motorola Solutions - D-Fend Solutions. The ACCC’s ability to give detailed consideration to submissions received after this time may be limited.
