Total Drain Group Pty Ltd (TDG Environmental) proposes to acquire 100% of the shares of Utility Management Group Pty Ltd (Pipe Management Australia). Both provide stormwater and wastewater collection and maintenance services. TDG Environmental also offers waste recycling, while Pipe Management Australia specialises in relining services in NSW and QLD.
Total Drain Group Pty Ltd, trading as TDG Environmental (TDG), proposes to acquire 100% of the shares of Utility Management Group Pty Ltd, trading as Pipe Management Australia (PMA) (the Acquisition). TDG is a provider of stormwater and wastewater collection, maintenance and waste recycling services in Australia and New Zealand. PMA is a provider of stormwater and wastewater collection and maintenance (in particular relining) services operating in New South Wales (NSW) and Queensland (QLD). TDG and PMA (the Parties) overlap in the supply of collection and maintenance services in relation to stormwater and wastewater, and, to a more limited extent, infrastructure and commercial and industrial customers. Liquid waste collection and maintenance services comprise a range of services relating to the inspection, cleaning, maintenance and rehabilitation of stormwater drainage infrastructure, including drains, pits, culverts, pipes and gross pollutant traps. Services include jetting/vacuuming, gross pollutant trap (GPT) servicing, non-destructive digging (NDD), pipe remediation, CCTV inspection, and waste transport and disposal.
The ACCC has prepared a questionnaire on the Acquisition. Submissions or information in response to the questionnaire should be provided by 22 July 2026 via email to mergers@accc.gov.au with the title Submission re: Total Drain Group — Pipe Management Australia. The ACCC's ability to give detailed consideration to submissions received after this time may be limited.
