Tabcorp Holdings Limited proposes to acquire 100% of BetMakers Technology Group Limited's issued shares via a scheme of arrangement. Tabcorp provides wagering, media, and integrity services. BetMakers is a global B2B provider of wagering technology, data, and analytics for the racing and betting industry. A binding Scheme Implementation Deed was announced on 10 August 2026.
Tabcorp Holdings Limited (together with its subsidiaries, Tabcorp ) proposes to acquire 100% of the issued shared in BetMakers Technology Group Limited ( BetMakers ) by way of scheme of arrangement (the Acquisition ). On 10 August 2026, the parties announced the binding Scheme Implementation Deed to the market. Tabcorp is an Australian public company (ASX:TAH) providing wagering, media and integrity services in Australia and internationally. Tabcorp’s wagering business consists of off-course totalisator and fix-odds betting on racing and other sports across digital and telephone channels in all States and Territories, and in retail venues throughout all States and Territories, other than Western Australia. Tabcorp also provides on-course totalisators in all states and territories, other than Western Australia. Tabcorp’s media business, Sky Racing, broadcasts live racing through subscription channels and digital feeds, including in the TAB App, as well as feeds to other wagering service providers ( WSPs ), and exports and imports racing content to and from other jurisdictions. Its Integrity Services division offers services in the electronic gaming machine industry. BetMakers is an ASX listed (ASX:BET) global B2B provider of wagering technology, data, and analytics (Wagering Technology Services or WTS ) for the racing and betting industry. BetMakers supplies wagering technology services via its two business segments: tote technology services via its Global Tote business; and fixed odds and digital wagering technology services via its Global Betting Services ( GBS ) business. BetMakers, through its GBS division, provides fixed odds wagering technology services, including to WSPs who compete with Tabcorp in the Australian wagering services market. The core services supplied by BetMakers to support fixed odds wagering operations in Australia are: Apollo, a white-label betting engine that provides the WSP customer with a ready-to-use solution in respect of a WSP’s core platform architecture; RaceOdds, a racing odds generation and ‘pre bet’ software tool that provides data for use by WSPs to derive their individual racing odds; Managed Trading Services ( MTS ), a risk management technology service that WSPs use to facilitate the execution of fixed odds pricing, bet acceptance, customer and risk management. In Australia, BetMakers only supplies MTS as an integrated part of its Apollo software; and RaceLab, a form and analytics data service, which provides form and analytical insights about racing events based on automated algorithms.
