A consortium led by Stonepeak Partners LP and Axight Capital Limited proposes to acquire 100% of the issued share capital of Estia Health Holdings Ltd. Estia, currently majority owned by Bain Capital Private Equity, operates 94 residential aged care homes across Queensland, New South Wales, Victoria and South Australia.
A consortium comprising investment funds advised and/or managed by affiliates of Stonepeak Partners LP (together with its affiliates, Stonepeak ), and a fund managed by Axight Capital Limited ( Axight ), propose to acquire 100% of the issued share capital of Estia Health Holdings Ltd ( Estia ) (the Acquisition ). Stonepeak is a global alternative investment firm specialising in infrastructure and real assets. Stonepeak has an interest in Aura Holdings, a retirement village developer and operator in Queensland. Estia is the ultimate holding company of the Estia corporate group, which operates residential aged care homes in Australia. Estia operates 94 homes nationally, with operations in Queensland, New South Wales, Victoria and South Australia. Estia is currently majority owned by Bain Capital Private Equity. Axight is an Abu Dhabi-based investment fund manager established by Lunate, an Abu Dhabi asset management firm. Axight operates as Lunate’s dedicated Asia-Pacific investment platform. Axight and Lunate do not hold any interests in any residential aged care business in Australia.
The ACCC has prepared a questionnaire on the Acquisition. Submissions or information in response to the questionnaire should be provided by 7 July 2026 via email to mergers@accc.gov.au with the title Submission re: Stonepeak led consortium – Estia Health. The ACCC’s ability to give detailed consideration to submissions received after this time may be limited.
