Summary

Acquisition details

Hapag-Lloyd Aktiengesellschaft ( HLAG ) proposes to acquire 100% of the outstanding shares and voting rights of ZIM Integrated Shipping Services Ltd ( ZIM ). The proposed acquisition will be effected by a newly-formed and wholly owned Israeli subsidiary of HLAG, Norazia (Israel) Ltd, merging with and into ZIM. HLAG is an international container liner shipping company, offering global transport services for container cargo and has the fifth largest TEU in the world. Hapag-Lloyd is active across all major east-west and north-south trades, though it submits it maintains a focus in the Transatlantic, Middle East, Latin America, and Intra-America trades. ZIM is a public company listed on the New York Stock Exchange in the USA (NYSE: ZIM). Its headquarters are in Israel. Globally, ZIM is active in container line shipping and related services, including logistics services (such as freight forwarding). In Australia, HLAG and ZIM overlap in supply of container liner shipping services between Asia and Australia. Specifically, the Parties overlap in relation to trades between the Australian East Coast and Busan (South Korea), Qingdao (China), Shanghai (China), Ningbo (China) and Yantian (China). ZIM also has a limited presence in the downstream freight forwarding services market in Australia. HLAG does not conduct these activities in Australia.
