McCarroll's of Moss Vale Pty Ltd, via its entities, proposes to acquire substantially all assets of the motor vehicle dealership businesses of Kinghorn Motors Pty Ltd and Country Motor Company Pty Ltd. This asset acquisition also includes the land where these new and used car retailing businesses operate in the Nowra/Illawarra region.
McCarroll's of Moss Vale Pty Ltd ( McCarroll's ) (via a special purpose vehicle, MAG South Coast Pty Ltd) proposes to acquire: (a) substantially all of the assets of the motor vehicle dealership business owned by Kinghorn Motors Pty Ltd ( Kinghorn Motors ); and (b) substantially all of the assets of the motor vehicle dealership business of Country Motor Company Pty Ltd ( Country Motors ) (the Acquisition ). As part of the same transaction, McCarroll's (via McCarrolls Property Holdings Pty Ltd) also proposes to acquire the land on which the motor dealership businesses owned by Kinghorn Motors and Country Motors are operated. McCarroll's is a private new and used car retailing business that operates 15 franchised automotive dealerships across 10 locations in the following primary market areas (PMAs): Sydney, North Shore, Hornsby and Newcastle. It does not operate in Nowra or the Illawarra region. Kinghorn Motors is a new and used car retailing business that operates two franchised automotive dealerships in the Nowra PMA (located in the Illawarra region). Kinghorn Motors represents two OEM vehicle brands as an authorised dealer, being Ford and Volkswagen. Kinghorn Motors also supplies OEM spare parts, aftermarket servicing and finance solutions. Country Motors is a new and used car retailing business that operates three franchised dealerships in Bomaderry, NSW (also located within the Nowra PMA). Country Motors represents three OEM vehicle brands: Hyundai, Isuzu and GWM. Country Motors also supplies OEM spare parts, aftermarket servicing and finance solutions.
The ACCC has prepared a questionnaire on the Acquisition. Submissions or information in response to the questionnaire should be provided by 29 July 2026 via email to mergers@accc.gov.au with the title Submission re: McCarroll's - Kinghorn Motors and Country Motors. The ACCC’s ability to give detailed consideration to submissions received after this time may be limited.
