ASSA ABLOY Holding AB, a holding company in the ASSA ABLOY Group ( ASSA ABLOY ), proposes to acquire 100% of the shares in Gunnebo Entrance Control AB and its subsidiaries ( GEC ) (The Acquisition ). ASSA ABLOY is a provider of access solutions, including locking, access control systems and components, and entrance automation (e.g., automatic pedestrian doors and industrials doors). ASSA ABLOY Entrance Systems ( AAES ) is a division of ASSA ABLOY which focuses on the manufacture and supply of entrance automation, operating globally under brands including ASSA ABLOY and agta record. ASSA ABLOY also distributes other products, which broadly encompasses physical security and storage solutions, access and locking solutions, doors and secure transfer solutions. ASSA ABLOY and AAES are active in production and sales of security entrance control equipment, but do not provide after-sales services for these products. In Australia, GEC is active in security entrance control equipment and services, supplying speed gates, turnstiles, mass transit gates, retail gates and security revolving doors which it manufactures at its four production sites located in Italy, Czechia, the USA and China. GEC offers after-sales services in relation to its own security entrance control equipment. GEC also distributes third-party products including safes, cabinets, vaults, manual doors and bollards.
