Acquisition details

SLB N.V. (together with its subsidiaries, SLB ) is proposing to acquire S&P Global Inc.’s ( S&P Global ) geoscience and engineering software portfolio (the Acquisition ). SLB is a global technology company that provides equipment, software and technical services, including subsurface evaluation, drilling and production services, to customers in the energy sector. Relevantly, SLB supplies exploration and production software including Petrel, Eclipse, Intersect, OFM, Techlog, Omega, Petromod, DrillPlan, Pipesim and Olga. S&P Global is an information, data, analytics, ratings, indices and commodity-information business. This includes an energy division which provides independent information and benchmark prices for the energy and commodity markets. S&P Global also offers geoscience software used to scope, plan and monitor oil and gas well development. S&P Global’s geoscience and engineering portfolio (the target of the Acquisition) comprises the following software products, used in upstream oil and gas exploration and production workflows: Kingdom, Petra, Harmony Enterprise, Analytics Explorer, SubPUMP, PowerTools, FieldDIRECT, Piper, WellTest and Element.
