Kimberly-Clark Corporation, together with its subsidiaries ( Kimberly-Clark ) proposes to acquire Kenvue Inc. and its subsidiaries ( Kenvue ) (the Acquisition ). Kimberly-Clark is a global corporation, headquartered in the United States, which produces and sells personal care products for personal, business and industrial use. Kimberly-Clark’s brands include Huggies, Kleenex, and Viva. Kenvue is a global corporation, headquartered in the United States, which produces and sells consumer healthcare products. Kenvue’s brands include Band-Aid, Zyrtec and Aveeno. Kimberly-Clark and Kenvue both supply feminine hygiene (period care) products in Australia, namely tampons, sanitary pads and panty liners under the brands ‘U by Kotex’ (Kimberly-Clark) and ‘Carefree’ and ‘Stayfree’ (Kenvue). To pre-emptively address potential competition concerns that may otherwise arise from the Acquisition due to the overlap between the parties in the supply of feminine hygiene products, Kimberly-Clark has offered an undertaking pursuant to section 87B of the Competition and Consumer Act 2010 which provides for the divestiture of Kenvue's feminine hygiene business in Australia and New Zealand (the Remedy Offer ).
