Certain affiliates of AIP, LLC. (together, AIP ) propose to acquire all of the outstanding equity interests in the Warehouse and Workflow Solutions ( WWS ) business of Honeywell International, Inc. ( Honeywell ) (the Acquisition ). Honeywell’s WWS business is comprised of Ibiza Holdings, Inc and Honeywell Intelligrated GmbH and their respective subsidiaries (together, Honeywell WWS ). As part of the Acquisition, AIP has established wholly owned special-purpose vehicles which will be the direct acquirers of the equity in Honeywell WWS.
