Integris supplies composite armour systems and protection solutions globally for armed forces. Protego was previously majority owned by funds advised by Agilitas Private Equity. This was a share acquisition.
The transaction concerns the proposed acquisition of sole control of Protego Holdco B.V. ( Protego ) by Ivera Bidco B.V., an entity indirectly owned by funds managed and/or advised by the Triton Group ( Triton ) (the Acquisition ). Protego and its subsidiary group hold the Integris Composites business ( Integris ). Integris is a global supplier of composite armour systems and protection solutions for armed forces and defence contractors. Prior to the Acquisition, Protego is indirectly majority owned by Agilitas Protego 2026 Subsidiary Fund LP, a limited partnership established under Jersey law. Agilitas Protego 2026 Subsidiary Fund LP is a partnership within the group of funds advised by Agilitas Private Equity. Triton is an investment firm based in Luxembourg managing and advising companies, primarily medium-sized businesses headquartered in Central and Northern Europe, in particular in Austria, Germany, Switzerland, the Benelux, and Nordic countries. Triton focuses on businesses in three core sectors: Business Services, Industrials and Health.
