AXDI SPV 5 Ltd ( AXDI ) proposes to acquire a minority interest in AMC AusCo 1 Ltd (the Target ) from BCP AMC Aus LP (by its general partner Brookfield Capital Partners VI GP LLC, by its sole member Brookfield Capital Partners VI Officer GP LLC) ( Brookfield ), by way of a share sale agreement. AXDI is a newly incorporated holding entity managed by Axight Capital Limited ( Axight ), that was established for the sole purpose of acquiring an interest in the issued share capital of the Target pursuant to the acquisition. The Target is the holding company of La Trobe Financial, an Australian alternative asset manager with over A$22 billion in assets under management, specialising in finance and credit investment solutions. La Trobe Financial operates across the following aspects of the wealth value chain: investment management and product manufacturing (managers investing client capital and manufacturers creating products to be acquired), platforms (technology platforms that allow advisers to manage clients' portfolios), and distribution (professional financial advisers who provide tailored advice to individuals and execute investment decisions).
