KKR, through MCNLST LLC, is acquiring a 51% equity interest in Omni JV LLC, an entity formed by Thomson Reuters Corporation to house its global print business. This business provides printing, publishing, and distribution services to legal, tax, and corporate customers. Thomson Reuters will retain 49%.
Thomson Reuters Corporation (via its wholly owned subsidiaries, Thomson Reuters Holdco LLC and West Publishing Corporation) will transfer assets comprising its global print business (the Target Business ) to Omni JV LLC, a Delaware limited liability company. Following this transfer, MCNLST LLC, a special purpose vehicle indirectly majority owned by insurance vehicles and accounts managed by various subsidiaries of KKR & Co. Inc., New York, United States (together with its subsidiaries, KKR ), will purchase all of the Class A Membership Units of Omni JV LLC, which represent 51% of the outstanding Membership Units of Omni JV LLC (the Acquisition ). As a result of the Acquisition, KKR, via MCNLST LLC, will acquire 51% of the capital and voting rights in Omni JV LLC. Entities owned by Thomson Reuters Corporation will hold the remaining 49% of the membership units in Omni JV LLC. The Target Business operates a scaled printing, publishing, fulfilment, and distribution business serving legal, tax, accounting, governmental, corporate, and institutional customers in the United States and internationally.
