Acquisition details

The Principal Party is Ampol Petroleum Pty Limited ( Ampol Australia ). Ampol Australia is a wholly owned subsidiary of Ampol Limited ( Ampol ), which is listed on the Australian Stock Exchange (ASX: ALD). Ampol is a transport energy provider which engages in purchasing, refining, and distributing petroleum products in Australia and is rolling out electric vehicles public charging networks. In Australia, Ampol has a network of fuel and retail convenience sites, which it conducts largely through Ampol Australia. The Vendor is a private property investor. Ampol is involved in the supply of fuel and convenience groceries and tobacco in all Australian states and territories. At a retail level, Ampol does so through retail sites which it prices and operates. As at 30 April 2026, there are 548 sites and 28 diesel stops (the diesel stops do not have any convenience offering and predominantly supply diesel targeted at commercial truck customers) which operate under the “Ampol” brand and 46 unstaffed sites which operate under the “U-GO” brand and sell fuel only with no convenience offering. Ampol sets the retail fuel prices for these sites. The Ampol sites are located throughout Australia and the U-GO sites are located in New South Wales, Queensland, Victoria, Western Australia, South Australia and Tasmania. Ampol also has operations and interests across Singapore, New Zealand, Philippines and the United States of America. Ampol is in the process of acquiring the EG Australia retail network of service stations in Australia. Ampol also has an energy solutions business focused on electric vehicle charging and renewable fuels. The Vendor is not involved in the supply of any goods and services other than the current leasehold to Ampol. The Vendor holds a freehold interest in land at 241 Wells Road, Chelsea Heights, Victoria 3196 ( Target Site ). Pursuant to a contract for the sale of land, Ampol Australia will purchase the Target Site from the Vendor (the Acquisition ). Ampol currently operates a retail fuel and convenience site located at the Target Site.
