Smith UK Bidco Limited, a special purpose vehicle which is owned by investment funds which are advised by Apax Partners LLP ( Apax ), proposes to acquire 100% of the issued share capital of Sedex Information Exchange Limited ( Sedex ), via a sale and purchase agreement entered into on 6 May 2026 (the Acquisition ). Concurrently with the Acquisition, existing shareholders of Sedex and members of its management team will acquire non-controlling minority interests in Smith UK Bidco Limited, thereby retaining an indirect economic interest in Sedex following completion. Apax is a UK limited liability partnership based in London, UK, and the parent company of a number of entities which provide investment advisory services to private equity funds investing in a range of industry sectors including technology, business services, healthcare, and internet/consumer goods (the Apax Funds ). Sedex is a technology company active in the supply chain management software applications sector, specialising in data, insights and professional services to empower supply chain sustainability. Sedex uses a combination of assessment tools, training and auditing services to provide end-to-end supply chain solutions that help businesses manage and improve responsible supply chain practices – including through the use of Sedex Members Ethical Trade Audit (SMETA), a standardised social audit methodology.
