Siemens Energy Limited (together with its corporate group, Siemens Energy ) proposes to acquire the entire issued share capital of Camlin Limited and its global subsidiaries ( Camlin Group ) (the Acquisition ). Siemens Energy is headquartered in Germany and operates in four main business areas: (i) gas services; (ii) grid technologies; (iii) transformation of industry; and (iv) Siemens Gamesa Renewable Energy. Siemens Energy is active in the energy sector, offering products and services in conventional and renewable power technologies, grid technology, energy storage and solutions for electrifying industrial processes. Siemens Energy has over 100,000 employees across 90 countries. Camlin Group is a private company, headquartered in Northern Ireland, which provides monitoring solutions for the energy sector and railways. Camlin Group provides services in over 45 countries from its offices in the UK, the US, France and China, and its 21 facilities in 17 countries. Camlin Group has around 600 employees globally. In Australia, Camlin Group is active through Camlin (Australia) Pty Ltd, the primary vehicle with which to contract with Australian customers. Globally, Camlin Group operates in two business areas: Energy – Camlin Group provides solutions for real-time monitoring and predictive fault management across the power chain (i.e., generation, transmission, distribution and private networks). In particular, Camlin Group provides its sensing technology and intelligent analytics solutions for: (i) low voltage networks, (ii) overhead lines, (iii) transformer monitoring, (iv) switchgear/circuit breaker monitoring, (v) generator monitoring, and (vi) inbuilding power networks. These solutions account for the vast majority their business. Rail – Camlin Group provides visual in-service, non-intrusive inspection solutions of pantographs, catenary, roofs, bogies and signalling power for fleet and infrastructure operators to detect issues early. However, these solutions only account for a small proportion of Camlin Group’s business.
