Healthe Care Group Pty Ltd (Healthe Care), through its wholly owned subsidiaries, proposes to acquire 5 private hospital assets in Melbourne and Geelong from Healthscope entities (the Acquisition). As part of the Acquisition, Healthe Care will acquire the following hospitals: Knox Private Hospital in eastern Melbourne; Ringwood Private Hospital in eastern Melbourne; Northpark Private Hospital in north-east Melbourne; The Geelong Clinic, a mental health hospital in Geelong; and The Victorian Rehabilitation Centre, a rehabilitation facility in eastern Melbourne. The Acquisition forms part of a broader consortium acquisition of Healthscope's portfolio. The other consortium members are Calvary, Acurio Health and KnG Group, which will each acquire separate hospitals pursuant to inter-conditional sale agreements. In addition to its acquisition of the five Healthscope assets located in Melbourne and Geelong, and as part of the consortium proposal, Healthe Care proposes to acquire substantially all the assets of Prince of Wales Private Hospital in Sydney. The proposed acquisition of that hospital is subject to a separate notification (MN-60052). Healthe Care is an Australian private healthcare group that operates 17 private hospitals and day surgeries across New South Wales, Victoria and Tasmania. Healthe Care is a majority owned by funds managed or advised by Pacific Equity Partners, a private markets fund manager. In Melbourne, Healthe Care currently operates one private hospital, Mulgrave Private Hospital (located in eastern Melbourne), and two Hobson specialist day surgeries in Sydenham and Werribee (located in north-west and south-west Melbourne, respectively). Healthscope is Australia's second-largest private hospital operator. On 26 May 2025, Healthscope's parent entities entered into receivership, with McGrathNicol appointed as Receivers to complete a sale of the business. The Receivers conducted an extended sale process over Healthscope's hospital portfolio.
