( Dione Topco ), pursuant to a Share Purchase Agreement dated 19 May 2026 (the Acquisition ). Hillhouse is a global investment firm that primarily invests in the fields of business services, healthcare, consumer, education, and real assets sectors. Atlas BidCo is indirectly and wholly-owned by certain funds managed and/or advised by Hillhouse and its affiliates. Dione Topco is the holding company for the indirectly wholly owned group of companies comprising LRQA Group Limited ( LRQA , together with its subsidiaries, the LRQA Group ). The LRQA Group is a global provider of inspection and certification services to both public and private sector customers with customers across a range of industries, including energy and renewables, construction, food and beverage, consumer goods manufacturing, and technology, amongst others.
