McDonald’s Australia Limited is acquiring nine McDonald’s fast-food restaurants in North West Sydney from its franchisee entities. This asset purchase includes plant, equipment, stock, and contracts, with the surrender of existing franchise and occupation agreements for the fast-food outlets.
As of May 2026, McDonald’s Australia Limited ( McDonald’s Australia ) owns 1,070 McDonald’s restaurants around Australia. It generally operates around 15% of these restaurants ( Corporate Restaurants ) and licenses the right to operate and occupy the remainder ( Franchised Restaurants ). Both the Corporate Restaurants and Franchised Restaurants supply McDonald’s branded fast-food products through dine in, takeaway, drive through and / or digital ordering channels. Between 13 August 2007 and 13 February 2026, Kramford Pty Limited, Jayark Pty Limited as trustee for Jayark Trust, Sherlee Pty Limited as trustee for Sherlee Trust, Pipmay Pty Limited as trustee for Pipmay Trust, Frygirl Pty Ltd as trustee for Frygirl Trust, Gozoboy Pty Ltd as trustee for Gozoboy Trust (collectively, the Franchisee ), Mark Andrew Halford ( Guarantor ) and McDonald’s Australia entered into franchise agreements or licences ( Franchise Agreements ) and occupation licences, leases or subleases (Occupation Agreements) in respect of the McDonald’s Dural, Kellyville, Rouse Hill, Rouse Hill Town Centre, Kellyville North, Norwest Marketown, Norwest II, Annangrove and Stanhope Gardens restaurants in NSW ( Target Restaurants ). These agreements granted the Franchisee the right to occupy and operate the Target Restaurants. McDonald’s Australia, the Franchisee and the Guarantor propose to enter a Deed of Surrender, Release and Asset Purchase in respect of the Target Restaurants ( Buyback Agreement ). Pursuant to this Buyback Agreement the Franchisee will surrender the Franchise Agreements and Occupation Agreements to McDonald’s Australia and sell the property used in the Target Restaurants to McDonald’s Australia (the Acquisition ). The property of the Target Restaurants comprises: any plant and equipment, fixtures and fittings used in connection with the Target Restaurants all current and saleable trading stock, consumables, packaging and packaging materials, work-in-progress, raw materials and finished goods held, used or to be used in the Target Restaurants and the benefit of the contracts that the Franchisee has entered in relation to the supply of goods or services to the Target Restaurants.
