Acquisition details

Egis Projects Asia Pacific Pty Ltd (EPAP) proposes to acquire from Fulton Hogan Industries Pty Ltd (Fulton Hogan Industries) the 50% of shares in Fulton Hogan Egis O&M Pty Ltd (FHE) that it does not already own. FHE was incorporated in December 2015 as a joint venture between EPAP and Fulton Hogan Industries. The acquisition involves the effective dissolution of the joint venture between EPAP and Fulton Hogan Industries via FHE and will occur pursuant to a share sale agreement. FHE supplies operation and maintenance services (i.e., asset management, incident response, maintenance, and capital works to ensure safety, efficiency, and availability) to the WestConnex project in Sydney. WestConnex is a continuous, 33km traffic-light-free motorway network with connection to Sydney Airport and connections for future projects linking the north shore and the southern suburbs. In future, FHE will supply facilities management services for the under-construction M6 tunnel project, also in Sydney. To date, the supply of facilities management services for the M6 tunnel project is FHE’s only non-WestConnex related business. Post acquisition, as a wholly-owned subsidiary of EPAP, FHE will continue to provide operations, maintenance and/or facilities management services to current and future customers, and Fulton Hogan Industries will operate entirely independently of both FHE and EPAP. EPAP is a wholly owned subsidiary of Egis S.A., a France-based engineering, consulting and operation services company. Neither EPAP nor any of its connected entities are involved in the supply of operations, maintenance, and facilities management services for roads and tunnels in Australia, other than through FHE. In Australia, other subsidiaries of Egis S.A. provide façade design and engineering services, building sustainability services, multi-disciplinary engineering consulting services (including rail signalling, rail systems, electrical, transmission/distribution, urban development, water, roads, environmental, and civil), architecture services, and enterprise asset management solutions. Fulton Hogan Industries provides services in pavement, asphalting, civil construction, and road and asset maintenance across Australia in sectors including defence, roads, and airports.
