St Vincent's Private Hospitals Limited, part of St Vincent's Health Australia Limited, proposes an asset acquisition of St Vincent's Private Hospital Sydney. The 310-bed Darlinghurst medical and surgical hospital is being acquired from the Congregation of the Religious Sisters of Charity of Australia and the Trustees of the Sisters of Charity of Australia, in the hospitals sector.
St Vincent's Private Hospitals Limited (the Acquirer ), a subsidiary of St Vincent's Health Australia Limited ( St Vincent's Health Australia ), proposes to acquire the assets and operations of St Vincent's Private Hospital Sydney ( Hospital ) from the Congregation of the Religious Sisters of Charity of Australia ( Congregation ) and the Trustees of the Sisters of Charity of Australia ( TSCA ) in both its personal capacity and as trustee for the SVPH Sydney Trust (the Acquisition ). The Acquirer is a not-for-profit operator of 9 private hospitals in Australia, with facilities in Victoria, New South Wales and Queensland. St Vincent's Health Australia is an incorporated not-for-profit organisation which acts as the parent company for the majority of charitable health and aged care services previously operated by TSCA. The Hospital is a 310-bed leading medical and surgical hospital located in Darlinghurst, New South Wales, that provides overnight and day-only care across a broad spectrum of specialties, including cardiology, neurosurgery and orthopaedics. The application arises out of the unique governance structure of the Hospital. While it functions as part of the Acquirer group of hospitals, it is a separate legal entity because of a bequest which requires it to continue to be operated by TSCA and the Congregation. TSCA and the Congregation are both registered charities with the Australian Charities and Not-for-profits Commission. TSCA is a statutory body corporate formed under the Roman Catholic Church Communities' Lands Act 1942 (NSW). The Acquisition will not change the operation of the Hospital, nor the other facilities operated by the Acquirer.
