Redwood Services Group Australia Pty Ltd (Redwood) proposes to acquire 100% of the shares in The Virtual IT Department Pty Ltd, The Virtual IT Department (Qld) Pty Ltd and Globechat Communications Australia Pty Ltd (together, Virtual IT Department) (the Acquisition). Redwood’s subsidiaries supply managed IT services, including the provision of software and hardware, to small-to-medium businesses and other enterprise customers across Australia. Redwood is part of Evergreen Services Group (Evergreen), which acquires managed IT service providers and other technology services companies globally. Evergreen is a portfolio company of Alpine Investors, a private equity firm headquartered in San Francisco, California. Virtual IT Department supplies managed IT services (including VoIP phone systems and support) to small-to-medium businesses and community sector organisations.
